These Terms of Use ("Terms") constitute a legally binding agreement between ABJAD ("Company", "we", "us", or "our") and the educational institution or individual ("School", "you", or "your") subscribing to or using the ABJAD school management platform and related services. By accessing or using ABJAD, you confirm that you have read, understood, and agreed to be bound by these Terms.
1. Definitions
- "Platform" means the ABJAD web application, mobile applications, APIs, and all related software services.
- "Subscription" means the paid or trial license granted to the School to access the Platform.
- "School Data" means all data, records, and content uploaded or generated by the School, its staff, students, and parents through the Platform.
- "Users" means administrators, teachers, staff, students, and parents authorized by the School to access the Platform.
- "Subscription Period" means the agreed duration of access as specified in the commercial agreement or invoice.
2. Acceptance of Terms
Use of the Platform constitutes full acceptance of these Terms. If you are entering into these Terms on behalf of a school or organization, you represent that you have the authority to bind that entity. If you do not agree with any part of these Terms, you must discontinue use of the Platform immediately.
These Terms apply to all modules of the Platform including, but not limited to: Academic Management, Student Information System, Finance & Fees, Attendance, Examinations, Communication, Employee & HR, Transport, and Mobile Applications.
3. License Grant
Subject to your compliance with these Terms and timely payment of all applicable fees, ABJAD grants the School a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for internal educational management purposes during the Subscription Period.
This license does not permit: reverse engineering, decompiling, or disassembling the Platform; reselling or sublicensing access; using the Platform to build a competing product; or removing any proprietary notices or labels.
4. Subscription & Payment
4.1 Fees
Subscription fees are as specified in the commercial agreement or invoice issued by ABJAD. All fees are quoted and payable in Jordanian Dinars (JOD) unless otherwise agreed in writing. Fees are exclusive of applicable taxes, including General Sales Tax (GST) as required by Jordanian law.
4.2 Payment Terms
Payment is due within the period stated on the invoice (typically 30 days from invoice date). Overdue payments may incur a late fee of 1.5% per month. ABJAD reserves the right to suspend access to the Platform if payment remains overdue for more than 15 days after the due date, following written notice to the School.
4.3 Price Changes
ABJAD may revise subscription pricing with a minimum of 60 days' written notice before the start of a new Subscription Period. Prices in effect during a current Subscription Period will not change until renewal.
4.4 Jofotara Compliance
All invoices issued by ABJAD comply with Jordan's electronic invoicing requirements under the Jofotara (ISTD) system. Tax invoices are submitted electronically in accordance with applicable Jordan Income & Sales Tax Department regulations.
5. School Responsibilities
The School agrees to:
- Provide accurate and complete information during registration and maintain the accuracy of such information throughout the Subscription Period.
- Maintain the confidentiality of all login credentials and be responsible for all activity occurring under its accounts.
- Promptly notify ABJAD of any unauthorized access or security breach.
- Ensure that all Users comply with these Terms and applicable Jordanian laws.
- Obtain all necessary consents from students, parents, and staff before entering their personal data into the Platform, in compliance with applicable data protection regulations.
- Designate at least one system administrator responsible for managing the School's use of the Platform.
6. Acceptable Use
You agree not to use the Platform to:
- Upload, transmit, or store any content that is unlawful, defamatory, harassing, obscene, or otherwise objectionable under Jordanian law.
- Violate any applicable local, national, or international law or regulation, including the Jordanian Cybercrime Law No. 17 of 2023.
- Introduce viruses, malware, or any harmful code.
- Attempt to gain unauthorized access to any part of the Platform or its related systems.
- Use automated means to scrape, crawl, or extract data from the Platform without prior written consent.
- Impersonate any person or entity or falsely represent an affiliation.
ABJAD reserves the right to immediately suspend access without notice in the event of a material breach of this section.
7. Data & Privacy
7.1 Data Ownership
The School retains full ownership of all School Data. ABJAD does not claim any intellectual property rights over School Data.
7.2 Data Processing
ABJAD processes School Data solely to provide and improve the Platform services as described in our Privacy Policy. We do not sell, rent, or share School Data with third parties for commercial purposes.
7.3 Data Security
ABJAD implements appropriate technical and organizational measures to protect School Data against unauthorized access, loss, or destruction. These include encryption in transit and at rest, regular backups, and access controls.
7.4 Data Export & Deletion
Upon written request, ABJAD will provide a full export of School Data in a standard machine-readable format within 30 days. Upon termination, School Data will be retained for 90 days before permanent deletion, during which the School may request an export.
8. Service Availability
ABJAD aims to maintain Platform availability of at least 99% measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance is communicated at least 48 hours in advance, and is typically conducted during off-peak hours.
Unplanned outages are treated as a priority and ABJAD will make commercially reasonable efforts to restore service as quickly as possible. Service availability is not guaranteed during events of force majeure, including but not limited to natural disasters, power outages, internet infrastructure failures, or government-mandated restrictions.
9. Intellectual Property
The Platform and all its components — including software, code, designs, trademarks, logos, documentation, and educational content created by ABJAD — are and remain the exclusive intellectual property of ABJAD and are protected under Jordanian Law No. 22 of 1992 on Intellectual Property Rights (as amended).
Nothing in these Terms transfers any intellectual property rights to the School, other than the limited license expressly granted in Section 3.
10. Limitation of Liability
To the maximum extent permitted by applicable Jordanian law, ABJAD's total cumulative liability to the School for any claims arising out of or relating to these Terms or the Platform shall not exceed the total fees paid by the School in the twelve (12) months immediately preceding the claim.
ABJAD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, even if ABJAD has been advised of the possibility of such damages.
This limitation does not apply to damages caused by ABJAD's gross negligence or willful misconduct.
11. Term & Termination
11.1 Subscription Period
These Terms remain in effect for the duration of the Subscription Period and any renewals thereof.
11.2 Termination by School
The School may terminate the Subscription by providing 30 days' written notice prior to the end of the current Subscription Period. No refunds will be issued for the unused portion of a paid Subscription Period unless otherwise agreed in writing.
11.3 Termination by ABJAD
ABJAD may terminate these Terms immediately upon written notice if: (a) the School materially breaches these Terms and fails to remedy the breach within 15 days of notice; (b) the School becomes insolvent or enters bankruptcy proceedings; or (c) continued operation would violate applicable law.
11.4 Effect of Termination
Upon termination, the School's license to use the Platform ceases immediately. ABJAD will provide a data export as described in Section 7.4. Sections 7, 9, 10, and 12 survive termination.
12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall first be subject to good-faith negotiation between the parties for a period of 30 days. If the dispute is not resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the competent courts of Amman, Jordan.
13. Amendments
ABJAD reserves the right to modify these Terms at any time. Material changes will be communicated to the School via email or through a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes acceptance of the updated Terms.
If you do not agree with the revised Terms, you may terminate your Subscription in accordance with Section 11.2 before the effective date of the changes.
